At the Grand Sunlake Project, the legal responsibilities of the developer — Thang Long Company — are reflected through multiple actions that seriously violate current statutory regulations.
First, Thang Long failed to provide the standard form contracts and general transaction conditions of the project to customers as required by the Law on Consumer Protection. This is a mandatory obligation intended to ensure transparency and allow buyers to fully understand their rights and obligations before entering into any agreement. The omission of these documents not only restricts consumers’ access to essential information but also shows signs of concealing unfavorable contractual terms.
Second, from a legal perspective, the apartments in the Grand Sunlake Project were permitted for lease only. However, Thang Long allowed the execution of lease-purchase agreements — a type of contract prohibited when a project does not meet statutory conditions under the Law on Real Estate Business. This constitutes entering into the wrong type of contract, thereby creating significant legal risks for all customers involved in these transactions.
Third, Thang Long entered into a Memorandum of Agreement with An Phu Gia for the joint development of the project, effectively delegating part of the project management and implementation to An Phu Gia. Nevertheless, when disputes arose, Thang Long disclaimed its responsibilities as the project owner and asserted that all customer-related matters fell under An Phu Gia’s management. This conduct violates the developer’s obligation to manage, operate, and assume full responsibility for the project in accordance with the Law on Real Estate Business.
From the above analysis, it is evident that the Grand Sunlake Project, in its legal essence, has been operated and managed in violation of statutory regulations from the outset. The project contains numerous irregularities in its operational mechanism — from information disclosure and contract execution to developer oversight and project administration. These are serious indications that require examination and handling by the competent state authorities in accordance with the laws governing real estate business.
