From this year, enterprise registration procedures have undergone significant changes aimed at enhancing transparency and strengthening the accountability of business founders. One notable requirement is that enterprises must provide full and accurate information on their beneficial owners from the stage of business registration and maintain such information in their internal records. This information must not only be reflected in the company charter but also be declared in detail in the registration dossier, ensuring that the individual(s) or organization(s) that actually exercise control over and derive benefits from the enterprise can be clearly identified.
The identification of beneficial owners focuses on factors reflecting actual controlling rights over the enterprise, including the authority to make key management decisions, control executive operations, and directly influence strategic decisions such as corporate restructuring or dissolution. This approach helps prevent concealed ownership structures, enhances transparency in the business environment, and improves overall legal compliance, while also contributing to the prevention and mitigation of legal risks in investment activities, financial operations, and commercial transactions.
